Introduction

This Toggl Community Forum is a space for users to interact with one another and share knowledge, information, and experiences related to Toggl products. The following terms (“Community Terms”) apply to any person who uses the Toggl Community Forum.

Toggl Community Forum is administered by Toggl OÜ, an Estonian private limited company, registered number 11346813, established and doing business at Toggl OÜ, Tornimäe 5, 2nd floor, Tallinn 10145, Estonia, toggl@toggl.com (“we”, “our”, “us” or “Toggl”)’. “You” and “your” refer to you, the individual user and participant in Toggl Community Forum.

All use of Toggl Community Forum is subject to these Community Terms and the Privacy Policy, which is hereby incorporated by reference (and available under https://toggl.com/legal/track/privacy/). By registering for Toggl Community Forum, you agree to comply with these Community Terms. These Community Terms constitute a binding agreement between you and Toggl. They do not create any third party beneficiary rights.

1. Account

In order to use certain features of the Toggl Community Forum, you may be required to sign up for an account, and select a password and username. You promise to provide us with accurate, complete, and updated registration information about yourself.

Toggl Community Forum is only intended for those who have full active legal capacity. Such capacity is usually attained by becoming of legal age (the age of majority), which commonly occurs at the age of 18. Individuals whose active legal capacity is restricted are also restricted from signing up to the Toggl Community Forum. You hereby declare that you have full active legal capacity and are capable of entering into contracts. If you are using Community on behalf of an organization, then you are entering into these Community Terms on behalf of the organization, and you represent that you have the authority to bind the organization to these Terms.

You are not permitted to use the Toggl Community Forum if:

  1. you do not have full active legal capacity and are not capable of entering into contracts,
  2. we have previously suspended or disabled your account for violations of our Community Terms,
  3. we do not direct our services to your geographic territory, or
  4. you are otherwise prohibited under applicable laws from using the Toggl Community Forum.

Your account is your own. Do not allow others to post from your account or act on your behalf within the forum. You must monitor and control all activity conducted through your Toggl Community Forum account and exercise all reasonable efforts to keep all passwords and login information for Toggl Community Forum confidential. Promptly notify us if you become aware of or reasonably suspect any illegal or unauthorised activity or a security breach involving your account, including any loss, theft or unauthorised disclosure or use of a username, password or account.

You may not transfer your account to anyone else without our prior written permission. You also may not have, control, or operate under more than one active user account. If we determine that you have, control, or are operating under more than one user account, we may take action without notice, including banning, revoking access to, and/or terminating your user account.

You will only use the Toggl Community Forum for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you. If your use of the Toggl Community Forum is prohibited by applicable laws, then you aren’t authorized to use the Toggl Community Forum. We are not responsible if you use the Toggl Community Forum in a way that breaks the law.

Toggl Community Forum is available at no cost. If we ever decide to implement a monetary fee, we will notify you before any services you are then using begin carrying it, and if you wish to continue using such services, you must pay all applicable monetary fees for such services.

2. Acceptable and Unacceptable Use

To maintain a welcoming, productive, and legally compliant environment, you must adhere to the following rules when using the Toggl Community Forum:

You agree to use the Toggl Community Forum in a lawful, respectful, and constructive manner. This includes, but is not limited to:

  • Engaging in discussions in a professional and courteous manner.
  • Sharing only content that you have the legal right to post.
  • Following all applicable laws, including those related to intellectual property, data protection, and export control.
  • Protecting the privacy and confidentiality of yourself and others.
  • Respecting the integrity and security of the Toggl Community Forum and its users.

You must not engage in any activities that compromise the integrity, security, or lawful use of the Toggl Community Forum. The following actions are strictly prohibited:

  1. Posting or linking to any harmful or malicious technology, including malware, spyware, or viruses.
  2. Engaging in fraudulent, defamatory, or otherwise unlawful activities.
  3. Violating any applicable laws or regulations, including but not limited to intellectual property, data privacy, and export control laws.
  4. Using the forum for phishing, hacking, or other unauthorized access attempts.
  5. Posting abusive, offensive, vulgar, obscene, hateful, racist, sexist, bigoted, libellous or defamatory content.
  6. Harassing, threatening, or bullying other users.
  7. Sharing personal or private information about others without their consent (doxxing), including addresses, phone numbers, email addresses, or financial information.
  8. Using or attempting to use another person’s account without permission.
  9. Impersonating any person, entity, or falsely claiming an affiliation with Toggl or any third party.
  10. Selling, trading, or otherwise transferring forum accounts or unique identifiers.
  11. Posting content that infringes on third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
  12. Sharing confidential or proprietary information that you do not have permission to disclose, including employment-related secrets, trade secrets, tax affairs or individual settlement and billing information, and any content subject to non-disclosure agreements or statutory non-disclosure regulations.
  13. Posting spam, chain letters, machine-generated content or mass unsolicited promotions.
  14. Advertising or promoting products, services, or commercial ventures.
  15. Using the forum to collect email addresses or personal data for marketing or solicitation purposes.
  16. Interfering with or disrupting the forum’s operations, security, or user experience.
  17. Overloading the forum infrastructure with excessive requests or automated access tools such as bots or scrapers.
  18. Circumventing or attempting to bypass forum security measures or access restrictions.
  19. Posting meaningless or placeholder content to hold specific usernames or identifiers.
  20. Accessing the forum to develop or promote a competing product or service.
  21. Copying ideas, features, functions, or graphics of the Toggl Community Forum.
  22. Engaging in cryptomining or other resource-draining activities.
  23. Authorizing, enabling, or encouraging any third party to violate these Community Terms.
  24. Exploiting loopholes or engaging in activities that undermine the spirit of these Community Terms.

3. User-generated Content

As a user of Toggl Community Forum, you have the ability to make information, data, graphics, sounds, videos, messages, profiles and other materials and content available through Toggl Community Forum (“Contributions”). Contributions include, but are not limited to all comments, suggestions, advice, and ideas, including those made or given on an existing or potential Toggl product or feature. All Contributions are subject to the same licensing provisions contained herein.

Users are solely responsible for all Contributions they make to the Toggl Community Forum. Toggl has no control over users’ Contributions, and Toggl does not endorse any Contributions. Additionally, Toggl does not make any promises about the reliability of any source or the accuracy, safety or intellectual property rights of any Contributions. By posting a Contribution, you represent and warrant to either own or have all the intellectual property rights necessary to upload or share all content contained within any such Contribution and that the Contribution does not infringe on the intellectual property rights of others.

4. Licence and Intellectual Property Rights

The materials displayed or performed or available on or through the Toggl Community Forum, including text, graphics, data, articles, photos, images, illustrations, and Contributions are protected by copyright and other intellectual property laws.

These Community Terms do not transfer to you any intellectual property rights in the Toggl Community Forum, and all rights, title and interest in and to such property which is vested in Toggl will remain vested in Toggl. Specifically, these Community Terms do not grant you any license or right of use of our trademarks, graphics and logos. You understand that Toggl owns the Toggl Community Forum and you won’t modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works based on, or otherwise exploit the Toggl Community Forum.

When you submit Contributions to Toggl Community Forum, you do not lose ownership over them. Rather, with each Contribution, you grant Toggl an unlimited, irrevocable, perpetual, worldwide and royalty-free licence to access, use, reproduce, display, prepare derivative works of, sublicense, perform and distribute any Contribution content, feedback, suggestions or ideas for any purpose without any obligation or compensation to you. You also agree that Toggl may amend and/or delete your Contribution.

If you make ideas and suggestions regarding Toggl products or services available through Toggl Community Forum, you acknowledge and agree that posting any such Contribution does not make you an inventor of any invention that may arise during any development of any Toggl product or service, including those that may incorporate or are related to user Contributions to Toggl Community Forum. If, despite the foregoing, you retain any right, title or interest in any invention, you agree to assign to Toggl all right, title and interest in and to any such invention, effective upon the invention’s conception, creation or development. To the extent that you retain any right to or interest in any invention after all permissible assignments, you waive all claims with respect to such rights or interests against Toggl and its affiliates, and any user of any Toggl product or service. In addition, you grant Toggl an unlimited, irrevocable, perpetual worldwide and royalty-free licence to access, use, reproduce, display, prepare derivatives works of, sublicense, perform, distribute, modify, make, sell, offer to sell, import, analyse and exploit all or any portion of any such invention. You waive and quitclaim to Toggl any claim for infringement, misappropriation or other violation of any invention or intellectual property rights assigned or licensed under these terms.

We take the intellectual property rights of others seriously and require that our Toggl Community Forum users do the same. If you own a copyright or have the authority to act on behalf of a copyright owner and want to report a claim that a third party is infringing that material on or through Toggl Community Forum, please contact Toggl immediately through:

5. Moderation

Toggl Community Forum is intended to be a place for users of all Toggl products and services to connect, communicate and share information, experiences, tips and thoughts. To ensure and foster a positive environment, Toggl may designate Toggl team members to act as moderators for Toggl Community Forum. Toggl reserves the discretion to remove and alter any user Contribution to Toggl Community Forum at any time, with or without notice, for violation of any of the Community Terms or applicable laws; for otherwise being deemed inappropriate and/or unlawful; or for any other reason. Toggl has the discretion to block, suspend, and remove users who violate these terms or the Community Forum guidelines from posting and/or to terminate these Community Terms and the user’s Toggl Community Forum account.

If there is a dispute between participants in the Toggl Community Forum, or between users and any third party, you agree that Toggl is under no obligation to become involved. If you have a dispute with one or more other users, you release Toggl, its officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes.

6. Disclaimer of Warranties

Toggl does not provide formal product support on the Toggl Community Forum. Toggl may provide general product or technical information; however, any information that is provided by Toggl or Toggl team members is without warranties of any kind. Toggl Community Forum and all related components and information are provided on an ‘as is’ and ‘as available’ basis, and Toggl expressly disclaims any and all warranties, whether express or implied, including the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. You acknowledge that Toggl does not warrant that the services will be uninterrupted, timely, secure, or error-free.

Toggl is unable to review all of the Contributions, and cannot therefore be responsible for the content of the Toggl Community Forum, its use or effects. By operating the Toggl Community Forum, we do not represent or imply that we endorse the Contributions or that we believe such Contributions to be accurate, useful or non-harmful. You are responsible for taking precautions as necessary to protect yourself and your computer systems from viruses, worms, Trojan horses, and other harmful or destructive content, as well as to use Toggl products in accordance with their respective Terms of Service, found at https://toggl.com/legal/. Despite our efforts, Toggl Community Forum may contain content that is offensive, indecent, or otherwise objectionable, as well as Contributions containing technical inaccuracies, typographical mistakes, and other errors. The Toggl Community Forum may also contain material that violates the privacy or publicity rights, or infringes the intellectual property and other proprietary rights, of third parties, or the downloading, copying or use of which is subject to additional terms and conditions, stated or unstated.

7. Limitation of Liability

Any information or content publicly posted or privately transmitted through the Toggl Community Forum is the sole responsibility of the person from whom such content originated, and you access all such information and content at your own risk.

We are not liable for any errors or omissions in that information or content or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Contributions or what actions you may take as a result of having been exposed to the Contributions. We can’t guarantee the identity of any users with whom you interact in using the Toggl Community Forum and are not responsible for which users gain access thereto.

It is not Toggl’s policy to publish comments that contain links to third-party websites, nor is it usual for us to link to anything other than our proprietary documentation in our own posts. However, should links to third-party websites appear in any Contribution, Toggl does not accept responsibility for the content of those websites, nor for any harm resulting from the use of such websites by you. Any references or links to third-party websites do not imply endorsement or recommendation by Toggl. Toggl has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third party that you interact with through the Toggl Community Forum. In addition, Toggl will not and cannot monitor, verify, censor or edit the content of any third-party site or service.

Your interactions with organizations or individuals found on or through the Toggl Community Forum, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. Toggl will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

Neither Toggl, nor any of its officers, directors, employees, licensors, or affiliates shall be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to:

  1. your participation in Toggl Community Forum, including, without limitation, lost revenue, damages for loss of profits, goodwill, use, data, or other intangible losses however caused, whether in contract, tort, or under any other theory of liability, and whether or not the party has been advised of the possibility of such damages
  2. any installation, implementation, upgrade, downgrade, modification or customisation of the software offered by Toggl
  3. failure to use any features of Toggl products, software or services in accordance with the Terms of Service of the relevant product, found at https://toggl.com/legal/", or the applicable law,
  4. using any features of Toggl products, software or services in conjunction with an item not provided or approved by Toggl,
  5. using a third-party item in conjunction with any feature of Toggl products, software or services not in accordance with the relevant third-party documentation or instruction,
  6. not applying an available fix, patch, update, service pack or upgrade that would have avoided the harmful event
  7. any unauthorised accessing or use of a Toggl Community Forum user account or any unauthorised use of the user’s credentials,
  8. any communication received or transaction entered into through or by means of the Toggl Community Forum;

Toggl shall not be liable (under any theory of liability), neither to you nor anyone else, for any loss of profit, business or opportunity, or any special, consequential, incidental, indirect, punitive or non-patrimonial loss or damages, whether foreseeable or not and even if advised of the danger thereof.

This section shall neither exclude nor limit mandatory liability for any: (a) wilful breach by Toggl of any of its obligations; or (b) death or personal injury caused by a defective item produced by Toggl (mandatory product liability).

Nothing herein shall prevent Toggl from invoking, or otherwise prejudice Toggl’s recourse to, any statutory defence, remedy or exclusion or limitation of liability. The protection afforded to Toggl hereunder, and any statutory protection that Toggl may enjoy, extends to anyone who acts on Toggl’s behalf, exercises its rights or performs its duties or assists Toggl in doing the same.

8. Indemnification and Assignment

To the fullest extent allowed by applicable law, you will defend, indemnify and hold Toggl and its affiliates, and their respective officers, directors, employees and contractors harmless from and against any claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims (including from other users) relating to: (a) your use or attempted use of Toggl Community Forum in violation of these Community Terms, (b) your violation of any law or the rights of any third party, (c) any Contributions that you post to Toggl Community Forum, including without limitation any claim of infringement, misappropriation or violation of any intellectual property, privacy or other rights, or (d) any misrepresentations made by you.

You may not assign, delegate or transfer these Community Terms or your rights or obligations hereunder, or your user account, in any way (by operation of law or otherwise) without Toggl’s prior written consent. We may transfer, assign, or delegate these Community Terms and our rights and obligations without your consent.

9. Termination

In most cases, you can delete your Toggl Community Forum account through your profile settings at any time. If your activity level in the community is low (e.g. limited number of posts and replies), your account and all associated content may be deleted, and Toggl will provide you with appropriate notice at least 7 days in advance.

Once your activity exceeds a certain threshold (e.g. a significant number of posts or replies), you can ask for your account to be removed from the Toggl Community Forum. In this case, you will need to contact a community administrator to request account deletion. You can choose to either: (a) delete your account while retaining your contributions (your content will remain but be anonymised); or (b) request full deletion of both your account and all associated content, where technically feasible.

Please note that some content may be retained for legal, administrative, or moderation purposes, in line with our Privacy Policy and applicable laws.

10. Modifications

These Community Terms constitute the entire agreement between Toggl and you concerning the use of the Toggl Community Forum.

You acknowledge that, from time to time, circumstances may arise that make it necessary or desirable to modify certain provisions of these Community Terms. Such circumstances include: (a) our launch of a new service or a modification to the products or services; (b) a significant change in our operating environment; (c) an order or a judgment being entered against or in favour of Toggl; (d) a significant corporate event, such as, e.g., our merger, acquisition or transformation; (e) Toggl’s transfer of the enterprise or a part of the enterprise to which the Toggl Community Forum pertains; (f) the ambiguity, invalidity, voidability or unenforceability of a provision herein; (g) any other event whose occurrence or expected occurrence in our reasonable judgment necessitates an amendment hereto.

Notwithstanding anything herein to the contrary, Toggl may modify the Toggl Community Forum or any part thereof at any time and for any reason, with or without notice. Changes will not apply retroactively and will become effective no sooner than 7 days after they are posted. Unless otherwise expressly agreed, the use of any new features, versions, releases, updates or other modifications that Toggl may make available in connection with the Toggl Community Forum shall be subject to the Community Terms. Your continued use of the Toggl Community Forum after any such modification shall constitute your consent to the respective modification(s). If you do not agree with the changes (whether to the Community Terms or the Toggl Community Forum itself), your sole remedy shall be to close your user account and stop using the Toggl Community Forum.

11. Severability

Unless otherwise expressly agreed, if any provision of these Community Terms proves to be void by reason of it violating mandatory law, such provision shall, for those specific circumstances and only in that particular respect in which it is void, be deemed to have been amended between the parties concerned so as to comply with the law. Any such amendment shall be limited to what is necessary for making the provision valid, preserving as much of its original meaning and intended effect as possible.

12. Governing Law and Jurisdiction

These terms constitute a binding agreement, and failure to comply with these terms may result in legal action. This agreement, and any disputes arising out of or related hereto, shall be governed exclusively by Estonian law, without regard to its conflicts with the laws or rules of the United Nations Convention on the International Sale of Goods.

These Community Terms and all matters relating to the Toggl Community Forum shall be governed by Estonian law. The United Nations Convention on Contracts for the International Sale of Goods does not apply to any of the foregoing.

All disputes arising from or otherwise concerning Community Terms or the Toggl Community Forum (including disputes concerning the formation or validity hereof) shall be resolved by arbitration as follows: (a) the matter shall be arbitrated by the Arbitration Court of the Estonian Chamber of Commerce and Industry (ACECCI); (b) the proceedings shall be conducted in accordance with the ACECCI’s then-current arbitration rules; (c) the seat of arbitration shall be Tallinn, Estonia; and (d) any decision (order, judgment or other) that the ACECCI may deliver in such a dispute shall be enforceable in all jurisdictions.

You hereby irrevocably submit to the above jurisdiction and waive any and all objections you may have thereto.

If the above agreement on arbitration proves to be invalid for whatever reason, all disputes to which it was intended to apply shall be subject to the exclusive jurisdiction of Estonian courts, with Harju County Court in Tallinn as the court of first instance (save where the rules of civil procedure provide for the mandatory jurisdiction of another Estonian court, in which event the latter shall apply).

13. Enforcement

Toggl reserves the right to take appropriate action in response to violations of these Community Terms. Depending on the severity and nature of the violation, Toggl may, among others: (i) remove or modify any content or Contribution that breaches these Community Terms; (ii) suspend or permanently terminate user accounts; (iii) report unlawful activities to the relevant authorities.

Toggl retains full discretion in enforcing these Community Terms to maintain a safe and constructive community environment. We reserve the right to pursue any legal remedies or enforcement actions we deem appropriate, including but not limited to seeking injunctive relief, damages, or cooperation with law enforcement agencies. If you do not comply with these Community Terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future). If it turns out that a particular term is not enforceable, this will not affect any other part of the Community Terms.
